Soar Technology is seeking a Director of Contracts and Procurement who will provide analysis, guidance, and direction on the Company’s federal contracts and proposals to ensure compliance with Federal Acquisition Regulation (FAR) and other related regulatory requirements. This person will report directly to the Vice President of Finance and will work closely with the rest of the leadership team. This position is responsible for negotiating contracts, which includes analyzing contract documents, evaluating compliance with requirements and regulations, and maintaining communication to ensure timely awards. A solid history of federal contracts management experience and/or relevant experience working for a Defense Contractor is required. This position may work in either the Ann Arbor or Orlando offices.

Duties and Responsibilities:
Contract, Subcontract, and Proposal Administration

 Serve as primary point of contact for key contractual matters with customers (internal and external), subcontractors, vendors, and other stakeholders.
 Perform routine contract and subcontract administration tasks such as monitoring performance periods, tracking funding awarded, contract ceiling amounts, and up-to-date burn rates, preparing and submitting CDRL reports, requesting and executing contractual modifications, performing contract closeouts.
 Review and analyze new contracts, subcontracts, NDAs, TAs, and other applicable documents to understand contractual requirements.
 Draft and negotiate comprehensive terms and conditions to mitigate contractual risks and/or to meet company business objectives.
 Work with Controller, Principal Investigators, Project Managers, and other key personnel to ensure adherence to contractual requirements and accurate, timely submission of contractual deliverables and reports.
 Prepare and issue subcontracts to include prime contract contractual flow-down requirements,
Period of Performance (POP), funded value, Labor Category (LC) requirements, Statements of
Work (SOWs), CDRLs, Other Direct Costs (ODCs), places of performance, travel requirements, schedules, etc. along with applicable terms and conditions established in TAs and subcontract agreements and/or as required by the project.
 Provide oversight of subcontractors to ensure they are in compliance with the terms and conditions of their contract.
 Work with Proposal Manager on proposal development, RFP compliance review, preparation of cost proposals and maintain bidding rates schema, terms and conditions, and modifications.
 Manage Contract Management System.

Compliance with and development of external and internal policies
 Provide guidance on and supervise operations related to contracts administration, policies, procedures, and processes.
 Develop written policies, processes, procedures, schedules, and work instructions for routine contract and subcontract management administrative tasks (kick-off, tracking, reporting, closeout, etc.).
 Respond to and resolve inquires/issues involving contractual matters. (e.g. Claims/REAs,IP enforcement actions)

 Continuous awareness of contracting regulations and changes to ensure those involved in the contracts, proposal, and administration operations are aware of developments to maintain on- going compliance.
 Maintain contractual compliance across all contracts, subcontracts, in accordance with FAR,
DFAR, ITAR, and FTR, and any other applicable regulations and ensure adherence to all contract specific terms and condition.
 Responsible for maintaining GFP and CAP inventory records.
 Other duties as assigned.

Required Skills and Experience:
 Bachelor’s degree in business or related discipline.
 10+ years contracts management, proposal management, or related project management experience working for a defense contractor
 Extensive knowledge of federal contracting, pricing, reporting, and audit compliance including experience with CAS, FAR, DFAR.
 Experience working with DCAA, DCMA.
 Proven experience as a manager or supervisor.
 Excellent communication skills, including facilitation, negotiation, and collaboration.
 Leadership, mentoring, and other skills needed to support teams and to work with co-workers to accomplish common goals.
 Working knowledge of various contract types (Cost Plus, T&M, FFP, etc.)

Preferred Skills (Not Required):
 Master’s degree, JD, CPA, and/or a related discipline or equivalent experience.
 Strong business knowledge associated with working in DoD science and technology community.
 Familiarity with Contracts and Procurement modules of Deltek Costpoint software
 Certified Professional Contract Manager or Certified Federal Contract Manager

Security Requirements
 Ability to obtain and maintain a Security Clearance (Security clearances require U.S. citizenship and a background check clear of felony convictions.)
