We are looking for motivated, reliable individuals interested in being on our Board of Directors. This position is voluntary – there is no financial compensation.

The board of directors is legally and ethically responsible for all activities of the organization. To that end it:

  • Determines how the organization will carry out its mission through long and short-range planning
  • Recruits, orients, and develops board members
  • Evaluates its performance and overall performance of the organization in achieving the mission
  • Establishes policies for the effective management of the organization

Responsibilities include:

  • Attendance at either an early morning meeting or evening meetings in downtown Buffalo, NY. The board meets approximately 9 times a year for about 90 minutes per meeting.
  • Volunteers for and willingly accepts assignments and completes them thoroughly and on time.
  • Stays informed about BSRA matters, prepares themselves well for meetings, and reviews and comments on minutes and reports.
  • Leverage connections, networks, and resources to develop collective action to fully achieve the organization’s mission.
  • The Board as a whole is collectively responsible for promoting the success of the BSRA by directing its affairs. In addition to these requirements for all directors, the non-executive directors are expected constructively to challenge and help develop strategy, to participate actively in the decision-making process of the Board, and to scrutinize the performance of management in meeting agreed goals and objectives.

Also, as a board member, we expect participation in one or more of the board committees. If appointed to a board committee, Non-Executive Directors will be advised of the committee terms of reference, and any specific additional responsibilities involved.

Duration

As Non-Executive Directors you will be appointed for an initial term of three years. The term may be renewed if both the director and the Board agree. Appointments are subject to the provisions of the articles of association, including those relating to election/re-election by the Nominations Committee Members at annual general meetings and the removal of directors.

Time Commitment

As directors you must be able to allocate sufficient time to the organization to perform your responsibilities effectively.
