VP & General Counsel for Fairbanks Morse, LLC (FM) is responsible for managing legal matters for FM and is a member of the senior leadership group. The VP & General Counsel is expected to lead strategic and tactical initiatives, provide a proactive approach to solving legal issues and provide senior management with effective legal advice on company strategies and business issues. The VP & General Counsel also holds the position of “Corporate Secretary”.
Position Primary Outcomes:
- Ensure effective contractual risk management.
- Support the integration of risk management practices into FM’s operational units to improve business performance.
- Ensure regulatory compliance and good governance practices are in place and actively managed.
Position Responsibilities:
Manage Contractual Risk:
- Ensure continuous improvement of processes which minimize, mitigate, or eliminate contract risk through:
- Communicated best practices and lessons learned;
- Training for subsidiary personnel in various roles, as appropriate;
- Standard, effective and timely contract review processes.
- Assist the operating units in identifying the probability of risk identified in a contract and how to deal with the risk.
- Provide a suite of options or alternatives to assist in contract negotiations, including direct customer interfacing in specific or significant contract issues.
Integrate Legal Risk Management Practices:
- Collaborate with the operating units on contract reviews with specific focus on risk mitigation.
- Manage FM risk in balance with the need to win work and grow the business.
- Actively participate in large project contract reviews and enterprise risk reviews when appropriate.
- Assist subsidiaries with customer specific legal challenges.
- Provide support to supply chain function, including on subcontract matters.
- Lead the legal aspects of joint venture opportunities when requested by the subsidiary.
Labor Strategy:
- Provide legal advice, opinion and support regarding labor issues.
- Establish and manage outside legal resources when required for labor issues, including union negotiations.
Claims Management:
- Ensure claims of any variety are managed as efficiently as possible (legal, property & casualty, workers comp, uninsured litigation):
- Manage claim defense strategy
- Manage the cost of claims
- Manage the settlement of claims
- Manage litigation of claims
- Establish trusted outside counsel relationships to ensure claims management and specialty legal support are available when needed and managed to maximize value to FM.
Compliance and Governance:
- Working with various FM functions, ensure policies and procedures are compliant with local, state and federal laws.
- Ensure compliance audits (when appropriate, in conjunction with the Audit function) are conducted to maintain compliance integrity.
- Conduct internal compliance training and implement with the operational groups.
- Participate as a member of the Business Integrity review committee including, when designated, conduct or manage investigations of potential non- compliance or governance issues.
Executive Leadership Team Member:
- Actively participate with executive leadership in strategy execution, operational excellence initiatives and general leadership of the company.
- Provide relevant legal oversight at the executive level regarding the direction and operation of the company.
- Actively participate at service centre locations with management in training, review of legal and/or claims support needs, process improvement and/or compliance with related policies and procedures. Participate in safety coaching observations with subsidiary leadership.
Education / General Experience:
- J.D. degree from an ABA accredited law school
- Active license in good standing to practice law
- 15+ years of legal experience in a corporate environment, with government contracting experience and/or experience with complex commercial contracts involving large industrial goods being a strong plus.
- At least 5 years’ experience working with trade unions or labor law is strongly preferred
- Experience with M&A a strong plus
