Under the direction of the Senior Executive Vice President, Global General Counsel, the Vice President and Corporate Counsel will be responsible for a wide range of legal services that involve contracts, employment law, corporate governance, privacy, litigation, real estate and other areas of the law, both domestically and globally. This position will provide advice and counsel to personnel in all departments within the Association, including executives, on a variety of legal topics.

Key Responsibilities

  • Draft, review and negotiate a variety of contracts, including agreements for vendor services, content protection, employment, employment separation, data privacy, licensing, website development and design, communications, consulting, IT and other miscellaneous agreements.
  • Assist in resolving contractual disputes and potential vendor relationship issues.
  • Provide advice and support to executives and other internal constituents on legal matters, including compliance with applicable laws, and as necessary draft, review and interpret company policies, procedures, handbooks and other company documents.
  • Provide counsel to Human Resources, Finance and other operational departments on a full range of employment law issues, employment disputes, investigations and mitigation of HR risks, domestically and globally.
  • Manage employment litigation with assistance of retained outside domestic and international counsel, formulating and executing strategy for effective resolution.
  • Assist the Association’s data protection officer with Privacy Shield and GDPR compliance matters.
  • Assist with other legal and risk management matters as requested on matters of corporate interest, including with respect to corporate maintenance and governance, domestically and globally, including filing and maintaining required federal, state and local government statements and maintaining corporate minutes for the Association and some of its related entities.
  • Supervise and manage other legal department staff, establish performance goals and evaluate staff regularly through performance evaluations and one-on-one discussion.
  • Perform other duties and projects as assigned.

Education and Experience Requirements

  • Juris Doctorate from an accredited top tier law school.
  • Member of the California State Bar.
  • 10 years’ relevant experience in a legal position at a corporate law firm or in-house legal department.

Knowledge, Skills and Abilities

  • Experience in structuring, negotiating, reviewing and drafting a variety of contracts in a broad range of areas, including, without limitation, information technology, software licensing, general service provider arrangements, data privacy and security and other business related transactional areas.
  • Must possess the highest level of professionalism, work ethic and integrity with the ability to maintain confidential information.
  • Must possess excellent analytical, writing and oral communication skills.
  • Exceptional attention to detail.
  • Demonstrated ability to solve practical problems and carry out responsibilities under general supervision.
  • Demonstrated ability to organize workload for effective implementation, follow through and meet deadlines.
  • Must possess the ability to work independently and to gather, analyze and disseminate information accurately and in a timely manner.
  • Must display sound judgment, initiative and the ability to work as part of a team.
  • Proficient in Microsoft Office.
