Role Summary:

The Vice President, Associate General Counsel – Transactions is an experienced member of the General Counsel’s global senior leadership team. The position requires leading our international transactions practice group consisting of experienced commercial attorneys and paralegals currently based in the United States, Europe and Asia. The transactions practice group is responsible for advising on a broad range of legal issues including negotiating complex commercial contracts, advising on M&A activities, handling customer bankruptcies and advising on strategic, corporate governance and legal entity management matters.

Core Responsibilities and Duties:

  • Assist the General Counsel in creating a dynamic and effective legal team environment, identifying development needs of legal team members and enhancing practice group vision to meet the growing commercial needs of the company.
  • Support the overall strategic direction of the department, with a focus on our Transactions practice, including developing and implementing policies, work-flow processes and metrics.
  • Structure and negotiate a variety of commercial contracts in support of company initiatives such as contracts related to transportation and logistics, data privacy, corporate transactions, regulatory compliance, and software licensing.
  • Provide legal advice on a wide variety of issues including customer bankruptcy and litigation, regulatory and data privacy issues, government contracting, export and regulatory compliance, as well as the application of various local laws and regulations.
  • Deliver critical legal training to executives and senior management as requested.
  • Report to the General Counsel and Board of Directors on key contract metrics and critical legal risk issues periodically.
  • Lead by example, setting the standard for excellence as an outstanding individual contributor.
  • Provide effective mentorship, motivating high performance and cultivating future leaders.

Qualifications

  • J.D. from an ABA-accredited law school (or equivalent); admittance to and good standing in a U.S. state (or comparable) bar with 15 years of practice experience and 10 years managing direct reports in multiple geographic locations.
  • Ability to be able to effectively work/communicate with, influence and provide guidance to various internal and external non-legal stakeholders on complex legal, commercial and financial matters.
  • Adept at thinking strategically and creatively and developing processes to enhance legal department efficiencies that maximize leverage without adding resources or increasing spend.
  • Ability to cultivate an efficient legal team that can effectively manage the comprehensive legal advice required to support Expeditors’ business as well as serve as effective counsel to stakeholders including various geographic, product and service leaders.
  • Proven ability to set strategy through a diverse and global practice group team.
  • Ability to handle multiple assignments simultaneously, with effective resolution of conflicting priorities.
  • Impeccable integrity, honesty, and trustworthiness.
  • Excellent judgment and common sense.
