The Contracts Manager/Contracts Paralegal will be responsible for managing and negotiating commercial sales and related agreements (including service agreements, supply agreements, NDAs, etc.), maintaining and organizing commercial agreements, and recommending and implementing improvements to the contract process where appropriate. The role will negotiate routine agreements directly with customers (under the supervision of the legal department), and will elevate and work with company attorneys on more complex agreements. While the role will report within the legal department, there will be significant interaction with the Sales, Service and Customer Service functions to help ensure quick turnaround of agreements. The role will require a positive attitude, teamwork, and strong project management skills to be able to move and track multiple projects to completion. The role may involve some work with other operating companies within the Product Identification platform, but initially will be a Videojet role. RESPONSIBILITIES – Review various commercial sales and related agreements and negotiate such agreements with company’s customers, ensuring the agreements address customer’s concerns but also reflect company’s policies and best practices. Handle routine contractual matters directly (under attorney supervision) and work with attorney for more complex matters. – Work with various internal departments to gather necessary information in order to thoroughly complete vendor questionnaires, codes of conduct, RFQs, and requests for Certificates of Insurance. – Diligently pursue customers and work closely with Customer Service, Sales, Service, Legal and other departments within all levels of management, to quickly drive sales agreements and related customer issues to resolution, and ensure customer contracting process runs efficiently – Track and manage contracts database for worldwide agreements – Assist in-house attorneys address other customer related issues. – Gain a solid understanding of Videojet’s business to be able to effectively perform the responsibilities – Be a good colleague for Videojet and Danaher legal department employees EDUCATION AND OTHER REQUIREMENTS – Bachelor’s Degree – Degree in Paralegal Studies from an ABA certified paralegal program or Paralegal Certificate is required – 5+ years of experience in corporate or law firm setting, with at least 7 or more years of experience reviewing and negotiating contracts SKILLS, QUALIFICATIONS AND CRITICAL SUCCESS FACTORS: – Knowledge of terms and conditions in commercial contracts; familiarity with commercial contract law and principles; skilled at reviewing terms & conditions and identifying risk areas – Strong negotiation skills gained through relevant prior work experience – Assertive and strong interpersonal skills to effectively interact with customers and business associates; willing to engage customers to close out open matters; able to persuasively negotiate with customers while remaining positive and professional – Ability to prioritize, manage various matters concurrently, work efficiently, and meet short deadlines in a fast paced, challenging environment – Ability to learn quickly, problem solve and make persuasive arguments – Ability to maintain high standards of customer service and satisfaction – High integrity and ethics in all dealings – Open to learning, enthusiastic, resilient, sense of humor
