Major Responsibilities:
- Provide oversight for major functions in Transaction Banking Legal.
- Assist in drafting, reviewing and negotiating documents for a wide-range of transactions and/or participate in special projects, provide overall legal counsel and advice with regard to various aspects of the organization’s business and provide support and coverage for other counsel.
- Partner with in-house counsel, outside counsel, compliance and risk management personnel to provide legal and regulatory guidance regarding policies and procedures to client group.
- Assist counsel, prepare and review correspondence, standard agreements, contracts, resolutions, regulatory updates, summaries, commentaries, reports, or other legal instruments.
- Conduct research and provide legal support on a variety of complex legal and/or business issues.
- Supply relevant data by analyzing and investigating data, providing quality assurance, reconciling information and producing reports.
- As directed, communicate routine information to clients on/or regarding clients’ matters and/or issues.
Qualifications:
- JD required, must be admitted to practice law in California.
- 1-3 years of relevant experience.
- Knowledge of the major responsibilities, accountabilities, and organization of the legal function or department; ability to provide legal consulting, advice and assistance. Works with common transactions and documents processed by the legal department.
- Monitors major current legal challenges, initiatives and issues. Works with major units or sub-functions of the legal department.
- Legal Analysis – Knowledge of methods and tools used in legal analysis and ability to read, interpret and draw accurate conclusions from both legal and factual information. Selects legal documents and research tools to be utilized by the legal department. Participates in discussions with professionals in order to break down legal issues into understandable concepts. Researches key criteria necessary for valid legal analysis. Interprets major types of legal analysis required by the organization. Follows procedures that help guide the evaluation of large scale implications and legal decisions.
- Contracts Review – Knowledge of the contractual and legal matters related to expenditures (consulting services, maintenance, agreements, acquisitions, outsourcing, etc.); ability to evaluate, interpret and improve the language used in contractual agreements. Monitors compliance with contract specifications and regulations. Interprets legal documents detailing service provisions by an outside party. Assesses key legal considerations associated with terms and conditions of a contract.
- Confidentiality – Knowledge of practices and policies governing disclosure of information about the organization, its business activities, and employees; ability to apply this knowledge appropriately to diverse situations. Under guidance, deals with situations or information requiring confidentiality. Makes sure to know organization-wide policy, procedures, and internal experts on confidentiality.
- Problem Solving – Knowledge of approaches, tools, techniques for recognizing, anticipating, and resolving organizational, operational or process problems; ability to apply this knowledge appropriately to diverse situations. Uses fact-finding techniques and diagnostic tools to identify problems. Identifies and documents specific problems and resolution alternatives.
