Responsibilities

The Vice President of Legal Affairs reports directly to the Chief Executive Officer and is responsible for the legal affairs of the corporation. This position advises management at both the corporate level and at our skilled nursing and retirement facilities on legal matters to ensure compliance with state and local regulations, policies and operational procedures to maintain the highest quality of care while minimizing risk and exposure to litigation.
  • Develop a corporate legal strategy and delivery of services and resources to achieve corporate goals, strategies and priorities from a legal perspective.
  • Advise on healthcare operations, general corporate transactions, regulatory and compliance issues, privacy, employment, medical staff issues, contracting, and patient/resident concerns.
  • Establish and implement a comprehensive risk management program encompassing all Lexington Health Network entities for purposes of reducing frequency of claims and mitigating the severity of existing and future claims.
  • Report all property and liability claims to assigned carriers and track progress of claims throughout the entire progress of case. Act as agent for our captive, coordinates with defense counsel, local Captive manager and board members to procure authorization to settle matters. Review trigger events to determine which should be reported to captive.
  • Review all vendor contracts and draft contracts and addendum.
  • Provide counsel to the Human Resources department on employment law matters relative to reducing exposure to discrimination or other employment-related claims. Coordinates defense in discrimination matters with outside counsel. Advise on new legislation impacting HR policies and practices.
  • Keep corporate records for all Lexington Health Network entities in order and up-to-date.
  • Along with brokers, gathers insurance renewal rates for all forms of insurance for all Lexington Healthcare Network entities (with the exception of health insurance). Supplies brokers with necessary information to obtain quotes and reviews quotes before selection.
  • Review and authorize release by the facilities of all medical records requests and access the potential of future litigation.
  • Advise facilities on OSHA and workers compensation matters.
  • Member of the Compliance Committee, contact person for all contractual matters in connection with compliance.
  • All other duties as assigned

Qualifications

  • Doctorate of Jurisprudence degree with a license to practice law in the State of Illinois and multiple years of practice experience in the healthcare industry.
  • Proven record in negotiating, closing, and stewarding complex agreements and processes.
  • Demonstrated business acumen as reflected to knowledge of the industry, facility operations and financial understanding of strategy and actions.
  • High level of integrity and discretion.
  • Ability to handle a multitude of complex and challenging situations.
  • Strong oral and written communication skills, as well as outstanding organizational and analytical skills required.
