Microsoft aspires to help our customers achieve their own digital transformation, leveraging the power of Microsoft Cloud solutions and services. To this end, we are looking for a Contracts Manager to drive high priority customer initiatives on Azure. This is customer facing role that is accountable for the end-to-end customer contracting experience.


Responsibilities


As a member of the PMO team you are expected to:

  • Participate in pre-sales activities for the most complex opportunities, and then provide contractual oversight in the resulting delivery program;
  • Be a strong team player, assisting the overall program team and your peers to achieve success;
  • Continuously maintain your professional skills through training, certification and, most importantly, by reducing the contractual risks of complex programs;
  • Be an active member of the Microsoft community;
  • Be willing to engage internationally;
  • Support the Program Manager by providing them with all necessary contractual obligations and insights to effectively deliver program outcomes
  • Provide the oversight and evaluation of major proposals, monitoring major contracts, lead or assist in key negotiations, resolve performance issues, identify risks and associated mitigations, ensure compliance with MSFT policies, procedures as well as government and contract requirements.
  • Review and analyze solicitations for potential risks, including compliance with requirements.
  • This role will lead full life cycle (“cradle-to-grave”) contract management activities.
  • Portfolio will be primarily federal contracts, but may also include commercial, and international contracts.
  • Provide advice and counsel to Group counterparts and other Contracts staff.
  • Regularly interact with programs, contracts, project control, finance, business development and with customers as required.
  • Attend early capture sessions to determine specific information and requirements in order to apply the correct contracts skills, techniques, methods and resources for the group thus meeting MSFT’s as well as the customer’s expectations and objectives.
  • Develop or review subprime contract flowdown documents to ensure compliance with subprime contract requirements and to minimize company liability.
  • Coordinate closely with the Subcontracts Administrators assigned to program to ensure subcontracting activities and prime contract flow downs are carried out in a manner consistent with prime contract requirements and operational objectives.
  • Support internal/external audit activities as well as data request from internal / external customers.

You will participate as part of an integrated team responsible for:
  • Analyzing all program contractual documents to identify the commitments, obligations and requirements;
  • Establishing the approach, ownership, and oversight of contractual terms and obligations to maintain compliance;
  • Advising program and senior management on potential impacts of key business decisions and program changes;
  • Analyzing contractual risk to the business and assisting senior management in assessing risk exposure for the company;
  • Visiting client sites and meeting with business partners;
  • Documenting exceptions to standard terms and conditions and monitoring compliance with the same;
  • Conducting special projects as assigned.


This will require:

  • Experience in drafting and negotiating contracts, statements of work, and service level agreements;
  • Excellent oral and written communication skills required in preparing clear, concise, and grammatically correct materials for communicating information effectively to others;
  • Expert contract, project, and time management skills;
  • Action oriented with a passion for getting things done quickly and efficiently;
  • Strong cross-group collaboration and relationship management skills including creating, directing, participating, supporting, and/or coordinating virtual teams to achieve objectives;
  • Ability to document and improve work processes in order to make workflow more efficient and productive;
  • Ability to work independently with minimal guidance while being a team player able to effectively manage a demanding workload across geographic and organizational boundaries.


Qualifications


Qualifications
  • Usually requires a BA degree and 8 – 12 years of prior relevant experience or Masters with 6 – 10 years of prior relevant experience.
  • Expert knowledge within government contracts arena with particular emphasis on proposal support.
  • Excellent negotiation skills, including experience negotiating complex terms and conditions.
  • Must have experience with all contract types (CPIF, CPFF, FFP, T&M, etc.) and in-depth understanding of FAR/DFAR.
  • Excellent time management, organizational, and analytical skills, including solving problems and mitigating risks.
  • Knowledge in government contracts, municipal, and commercial contracts.
  • Ability to work in fast-paced environment and manage multiple priorities.
  • Must have the interpersonal skills to deal effectively with executive management and staff regarding Contracts issues with high degrees of complexity and work issues to resolution.
  • Ability to establish relationships internally and within the MSFT community.
  • Experience as Contracts lead on large proposals is required.
  • Proficient in Excel/Word/PowerPoint
  • Experience managing contracts with the Department of Defense (DoD) and/or other Federal agencies preferred.
  • 12+ years of experience successfully managing contracts and related documents at a large-scale corporation, law firm, or government entity;
  • Expert knowledge of the FAR/DFARS contracting requirements for working with the Federal Government and Department of Defense (DoD);
  • Ability to perform in complex cross-functional business environment;
  • Ability to travel, both domestically and internationally, in planned scenarios.


Certifications Preferred:
  • Certified Professional Contracts Manager (CPCM)
  • Project Management Professional (PMP) – Desired
